  The following terms and conditions (the "Terms and Conditions") govern your use of this web site, and any content made available from or through this web site, including any subdomains thereof (the "Web Site"). The Web Site is made available by IDBI Gilts Limited. IDBI Gilts Limited may change the Terms and Conditions from time to time, at any time without notice to you, by posting such changes on the Web Site.

1. Accepting the Terms:
  • By using the Services, you agree that you have read and understood these Terms and you agree to be bound by these Terms and use the Services in compliance with these Terms. PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO BE BOUND BY (OR CANNOT COMPLY WITH) ANY OF THE TERMS BELOW, DO NOT ATTEMPT TO USE THE WEBSITE. You expressly represent and warrant that you will not use the Service if you do not understand, agree to become a party to, and abide by all of the Terms specified below. Violation of these Terms can result in legal liability to you. Nothing in these Terms should be construed to confer any rights to third party beneficiaries.
  • For purposes of these Terms, "we", "us" "our" "company" refers to IDBI Gilts Limited and its directors, officers, agents, employees and representatives (collectively, "IDBI Gilts"), and "you", "your" and "yours" refers to you, the customer using the Service who indicates his/her acceptance/rejection of these Terms below.
  • You can accept the Terms by: actually using the Services. In this case, you understand and agree that IDBI Gilts will treat your use of the Services as acceptance of the Terms from that point onwards.
  • You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with IDBI Gilts, or (b) you are a person barred from receiving the Services under the laws of India or other countries including the country in which you are resident or from which you use the Services.
  • Unless otherwise agreed in writing, your agreement with IDBI Gilts will always include, at a minimum, the terms and conditions set out in this document. These are referred to below as the "Universal Terms".
  • Your agreement with IDBI Gilts will also include the terms of any Legal Notices applicable to the Services, in addition to the Universal Terms. All of these are referred to below as the "Additional Terms". Where Additional Terms apply to the Services, these will be accessible for you to read either within, or through your use of, that Service.
  • The Universal Terms, together with the Additional Terms, form a legally binding agreement between you and IDBI Gilts in relation to your use of the Services. It is important that you take the time to read them carefully. Collectively, this legal agreement is referred to below as the "Terms".
  • If there is any contradiction between what the Additional Terms say and what the Universal Terms say, then the Additional Terms shall take precedence in relation to that Service.
2. Proprietary Rights.
As between you and IDBI Gilts Limited., IDBI Gilts Limited. owns, solely and exclusively, all rights, title and interest in and to the Web Site, all the content (including, for example, audio, photographs, illustrations, graphics, other visuals, video, copy, text, software, titles, Shockwave files, etc.), code, data and materials thereon, the look and feel, design and organization of the Web Site, and the compilation of the content, code, data and materials on the Web Site, including but not limited to any copyrights, trademark rights, patent rights, database rights, moral rights, sui generis rights and other intellectual property and proprietary rights therein. Your use of the Web Site does not grant to you ownership of any content, code, data or materials you may access on or through the Web Site.

3. Limited License.
You may access and view the content on the Web Site on your computer or other device and, unless otherwise indicated in these Terms and Conditions or on the Web Site, make single copies or prints of the content on the Web Site for your personal, internal use only. You further agree that you may not alter, edit, delete, remove, otherwise change the meaning or appearance of, or repurpose, any of the content, code, data, or other materials on or available through the Web Site, including, without limitation, the alteration or removal of any trademarks, trade names, logos, service marks, or any other proprietary content or proprietary rights notices. If you make other use of the Web Site, or the content, code, data or materials thereon or available through the Web Site, except as otherwise provided above, you may violate copyright and other laws of the India, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use.

5. Trademarks.
The trademarks, logos, service marks and trade names (collectively the "Trademarks") displayed on the Web Site or on content available through the Web Site are registered and unregistered Trademarks of IDBI Gilts Limited and others and may not be used in connection with products and/or services that are not related to, associated with, or sponsored by their rights holders that are likely to cause customer confusion, or in any manner that disparages or discredits their rights holders. All Trademarks not owned by IDBI Gilts Limited that appear on the Web Site or on or through the Web Site's services, if any, are the property of their respective owners. Nothing contained on the Web Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Web Site without the written permission of IDBI Gilts Limited or the third party that may own the applicable Trademark. Your misuse of the Trademarks displayed on the Web Site or on or through any of the Web Site's services is strictly prohibited.

You agree that in using the Services, you will not use any trade mark, service mark, trade name, logo or any other Intellectual Properties of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos or other Intellectual Properties, unless you have good right, full power and authority to use such respective marks, names or logos or other Intellectual Properties.

In the course of your use of the Web Site and/or the services made available on or through the Web Site, you may be asked to provide certain personalized information to us (such information referred to hereinafter as "User Information"). IDBI Gilts Limited's information collection and use policies with respect to the privacy of such User Information are set forth in the Web Site's Privacy Policy which is incorporated herein by reference for all purposes. You acknowledge and agree that you are solely responsible for the accuracy and content of User Information.

11. Linking to the Web Site.

IDBI Gilts Limited reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with IDBI Gilts Limited's defense of such claim.

You acknowledge and agree that we have no responsibility for the information, content, products, services, advertising, code or other materials which may or may not be provided by or through Linked Sites, even if they are owned or run by affiliates of ours. 17. Applicable Laws.
We control and operate the Web Site from our office in India. We do not represent that materials on the Web Site are appropriate or available for use in other locations. Persons who choose to access the Web Site from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable. All parties to these terms and conditions waive their respective rights to a trial by jury.

18. Termination.
IDBI Gilts Limited may terminate, change, suspend or discontinue any aspect of the Web Site or the Web Site's services at any time. IDBI Gilts Limited may restrict, suspend or terminate your access to the Web Site and/or its services if we believe you are in breach of our terms and conditions or applicable law, or for any other reason without notice or liability. IDBI Gilts Limited maintains a policy that provides for the termination in appropriate circumstances of the Web Site use privileges of users who are repeat infringers of intellectual property rights.

19.Changes to Terms of Use.
IDBI Gilts Limited reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Terms and Conditions, in whole or in part, at any time. Changes in the Terms and Conditions will be effective when posted. Your continued use of the Web Site and/or the services made available on or through the Web Site after any changes to the Terms and Conditions are posted will be considered acceptance of those changes.

20. Governing Law and Jurisdiction
The Terms and Conditions, and the relationship between you and us, shall be governed by the laws of the India, without regard to conflict of law provisions. You agree that any cause of action that may arise under the Terms and Conditions shall be commenced and be heard in the appropriate courts at Mumbai. Any legal actions against IDBI Gilts must be commenced at Mumbai in the State of Maharashtra within one year after the claim arose. You agree to submit to the personal and exclusive jurisdiction of the courts located within Mumbai city. Our failure to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect. Notwithstanding this, you agree that IDBI Gilts shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.

IDBI Gilts makes no representation that the Services is appropriate or available for use in all countries, and prohibits accessing the Services from any jurisdiction that does not enforce agreements with respect to governing law, including without limitation the governing law provision in the foregoing paragraph. You access the Services on your own initiative and at your own risk and are responsible for compliance with all laws applicable to your use of the Service. Please note that the Service is hosted on the computer servers not located in India and therefore, any and all data, information or any other personally identifiable data submitted to us by you, whether directly or indirectly, in connection with the Services may be transferred to the country in which the server is located (and we would be bound by relevant of laws of that country), a jurisdiction that might not provide an equivalent level of protection as the data protection laws in your home country. You agree that by using of the Service or submitting any personally identifiable information you thereby expressly consent to and authorize these transfers.

21. Arbitration
Any and all dispute or difference between the parties hereto, regarding the interpretation or meaning of any provision of this Agreement or regarding any claim of one party against the other or regarding any other matter arising out of this Agreement, the Parties shall, attempt in the first instance to resolve the same through negotiation/ Mutual Settlement initially between the persons responsible. If the dispute is not resolved through negotiation within 30 days after commencement of discussions then be referred to arbitration of a common arbitrator if agreed upon or to three arbitrators, one to be appointed by each party and the third arbitrator to be appointed by consent of the arbitrators appointed by each party. The arbitration proceedings shall be governed by the provisions of the Arbitration and Conciliation Act, 1996 along with its Rules thereof. The place of arbitration shall be at Mumbai and shall be conducted in English language. The decision of the arbitrator will be final and binding on the Parties. The Speaking order shall be in English.

Force Majeure
We shall have no liability to you for any interruption or delay in access to the Site irrespective of the cause.
Entire Agreement
These Terms of Use constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

The Terms constitute the whole legal agreement between you and IDBI Gilts and govern your use of the Services (but excluding any services which IDBI Gilts may provide to you under a separate written agreement), and completely replace any prior agreements between you and IDBI Gilts in relation to the Services.

  • Web site's failure to enforce any right or failure to act with respect to any breach by a User(s) under these terms and conditions will not waive that right nor waives IGL's right to act with respect with subsequent or similar breaches.
  • Web site shall have the right to assign its obligations and duties in this Agreement and in any agreement relating to any/all of its Services to any person or entity.
  • If any provision of the terms and conditions of use and/or Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
